ProntoWeb WhatsApp

Version agb-2026-11-07-3 · As of 7 November 2026 · Deutsche Fassung

This is the English version. Consumers receive these terms in the language of their conversation, and that version applies to them. For businesses, the German version prevails if the versions differ (Terms § 2 (5)): Allgemeine Geschäftsbedingungen

General Terms and Conditions of ProntoWeb for “Website subscription” („Website im Abo“)

These terms include six annexes. Annex 1 (Service Description), Annex 2 (Price List), Annex 4 (Data Processing Agreement) and Annex 5 (Content Policy and Notice Procedure) are part of the contract. Annex 3 (Cancellation Policy) and Annex 6 (Notice on the Use of AI) provide you with information.

§ 1 Provider and scope

  1. The provider is tiro UG (haftungsbeschränkt), Oranienburger Straße 45, 10117 Berlin, Germany, represented by its managing director Felix Kunhardt von Schmidt. It is registered in the commercial register of the Amtsgericht Berlin (Charlottenburg) under HRB 270107 B, VAT ID DE451517867. You can reach us as follows:

We trade under the brand “ProntoWeb” (“we”).

  2. These terms apply to contracts with consumers (§ 13 BGB) and with businesses (§ 14 BGB). Where a rule applies to only one of the two groups, it begins with “Consumers only:” or “Businesses only:”.
  3. We treat you as a consumer. We treat you as a business if you confirm on the payment page: “I am ordering for my business (commercial or self-employed), not as a private individual.” You do not need a VAT identification number for this. It only matters for reverse charge (§ 4 (2)).
  4. Orders may be placed by consumers resident in, and businesses established in, the European Union or the European Economic Area.
  5. Businesses only: Your own terms and conditions do not apply, even if we do not expressly object to them.

§ 2 Conversation, draft and conclusion of contract

  1. You describe your business in a WhatsApp conversation with our AI assistant (§ 9). From this we create a draft of your website. The conversation and the draft are free of charge and non-binding.
  2. Until the contract is concluded, we create exactly one draft. We adjust texts, images, opening hours, contact details and other content at your request. A different design is only available in the subscription (§ 3 (4)).
  3. Your “yes” in the conversation is not yet an order. We then send you the link to our payment page. The contract is concluded when you accept these terms there, submit the order with the order button and our payment service provider Stripe confirms the payment.
  4. Before submitting, you see all details on the payment page and can correct them. We store the text of the contract. After conclusion of the contract, we send you a confirmation by email. It contains these terms in the version you accepted, with all annexes and the cancellation policy.
  5. These terms are available in German, English, French, Spanish, Italian, Dutch and Polish. You receive the version in the language of your conversation. If you speak a different language, you receive the English version. Businesses only: If the versions differ from one another, the German version prevails.

§ 3 Services in the subscription

  1. For the term of the contract, we provide you with a website based on your draft. It runs at an address of the form name.prontoweb.io. This address remains ours. After the end of the contract we keep it reserved for you for two months; after that we may assign it again.
  2. The website includes hosting, technical maintenance and updates. In addition, our system generates a legal notice (Impressum) and a privacy policy for your website from your information (§ 11 (7)). The details of all services are set out in Annex 1.
  3. Changes to your website are included in the subscription. You tell us via WhatsApp what you would like changed: texts, images, opening hours, contact details and list entries, but also the design, a new section or a new page. We apply changes directly to your website, without a separate preview.
  4. Changes are subject to fair use. In each calendar month we apply changes up to the limit stated in Annex 1 § 3 (3). Once it is reached, we tell you in the conversation, and we apply further changes from the 1st of the following month. We do not offer the purchase of additional changes.
  5. We owe a functioning website with the content you have given us. Its design corresponds to the draft you saw before ordering and to your later change requests. In doing so we work with AI (§ 9) and with service providers. We do not owe any particular ranking in search engines or any particular number of visitors.
  6. We may change the service for a valid reason, for example because of new technology, for security reasons or because of a change in the law. This causes you no costs. We inform you clearly and comprehensibly about every change. If a change affects your access to the website or its use more than insignificantly, we inform you in text form at least four weeks in advance. You may then terminate the contract free of charge within 30 days. The period begins with our information or with the change, whichever comes later.
  7. Additional services such as a domain of your own (§ 16) are part of the contract only if you have ordered them. For an additional service or a function that you specifically order or switch on, the conditions that we state to you beforehand and that you accept in doing so also apply.
  8. The images on your website come from three sources:

    1. Your own photos. They always take priority.
    2. Licensed stock photos, for example from Pixabay, as long as you do not reject them. We choose motifs without people and without brands. If someone or a brand is visible after all, we replace the photo at your request. We never use a stock photo as your logo. A stock photo does not show your business but a suitable motif. You see every stock photo before your “yes” and can reject it or have it replaced.
    3. Images generated by an AI. This applies only if we offer this and you have expressly agreed in the conversation. How we label such images is set out in Annex 6 § 3. They show neither people nor your business, your premises or your goods.
  9. We always send you the messages you need for your contract, via WhatsApp or email: confirmations, invoices, payments, deadlines, disruptions and changes under paragraph 6 and § 14. We send further notices only if you have expressly agreed in the conversation, for example reminders of your opening hours before public holidays, the question of whether an entry is still up to date, the figures for your website (Annex 1 § 9) or the offer of a new design (Annex 1 § 6 (4)). These terms do not replace your consent. You can withdraw it at any time, with “Stopp” or informally. Your contract remains unaffected by this.

§ 4 Prices and payment

  1. The prices of the price list (Annex 2) that the payment page states to you before you order apply. The monthly price is due monthly in advance, for the first time on conclusion of the contract. A set-up fee is charged only if the price list and the payment page state one; it is due on conclusion of the contract.
  2. All prices are final prices including statutory VAT. Businesses only: If you are established in another EU country and have a valid VAT ID, you pay the net price. You then owe the VAT yourself (reverse charge).
  3. You pay via Stripe using the payment methods offered on the payment page. You receive invoices by email.
  4. You receive a discount through a discount code on the payment page. The payment page shows you before you order how high it is, whether and when it ends and which price applies after that. Seven days before a discount ends, we remind you via WhatsApp of the price that will then apply and of how to terminate. After that the regular price applies.
  5. We change the price of your subscription only with your express consent. We announce a new price in text form at least six weeks in advance. If you do not agree, your contract continues at the previous price. We may then terminate it under § 6 (2).
  6. If a payment fails, we let you know via WhatsApp, and Stripe tries again. If the payment does not arrive, we take your website offline until the payment is received. This happens no earlier than 14 days after the due date and no earlier than 7 days after our message has reached you. If you do not pay by the end of the billing month, we terminate the contract with effect from that day under § 6 (2). We point this out to you when we take your website offline. If the website is taken offline less than 14 days before the end of the billing month, the contract ends only at the end of the following billing month.

§ 5 Right of withdrawal

  1. Consumers only: You may withdraw from the contract within 14 days without giving any reason. The details are set out in the cancellation policy (Annex 3).
  2. Your website goes online immediately after payment. You expressly request this on the payment page.
  3. If you withdraw, we refund all payments to you in full, even if your website was already online. We do not demand compensation for the value of the service provided. When you withdraw, we take your website offline.
  4. You can withdraw by any unequivocal means, for example by email, via WhatsApp or using the button “Withdraw from contract here” on pay.prontoweb.io/widerrufen. We confirm receipt to you without undue delay, with date and time: by email after a withdrawal using the button, otherwise by the means through which you withdrew. You then confirm a withdrawal made using the button once, via WhatsApp or via the link that we send to your number and your email address. This way nobody else can withdraw on your behalf. The time of withdrawal is the time of receipt via the button.
  5. If a withdrawal is received only after the withdrawal period has expired, we treat it as a termination under § 6 (2). Businesses only: You have no right of withdrawal. If you nevertheless declare a withdrawal, we likewise treat it as a termination under § 6 (2).

§ 6 Term and termination

  1. The contract runs for an indefinite period. There is no minimum term.
  2. You and we may terminate at any time with effect from the end of the current billing month. A billing month begins on the day the contract is concluded (for example from the 15th to the 14th of the following month). If the contract ends through ordinary termination, we do not refund anything pro rata. If you terminate without notice for a reason for which we are responsible, we refund the rest of the month pro rata.
  3. You can terminate in any of these ways:

    • using the button “Cancel now” on pay.prontoweb.io/kuendigen. You will find the link “Cancel your contract here” in the footer of prontoweb.io and on our payment page,
    • in the Stripe customer portal,
    • in text form, for example by email or by WhatsApp message in the conversation.

You confirm a termination made using the button once, via WhatsApp or via the link that we send to your number and your email address. This way nobody else can terminate on your behalf. The time of termination is the time of receipt via the button. If you give an email address on the page, we immediately confirm receipt to you there, with date and time.

We confirm every termination in text form, with the day on which the contract ends. You do not need to do anything else.

  4. The right of both parties to terminate without notice for good cause remains unaffected. For us, good cause includes in particular a serious breach of § 7 (3), or one repeated despite a warning.
  5. When the contract ends, we take your website offline. You can request your data as a ZIP file at any time, during the contract and up to 30 days after it ends. If you request it via WhatsApp or email, we send it to you. The ZIP file contains:

    • what you sent us: your texts, the transcripts of your voice messages, photos, logos and documents,
    • your videos in the version that ran on your website,
    • the texts that we wrote for you,
    • your business details (name, address, opening hours, services, contact) as a file that other programs can read,
    • the AI images of your website, once we offer AI images.

It does not contain the recordings of your voice messages, your videos in the original, or the design, templates, program code and framework of your website (§ 8 (3)). Nor does it contain stock photos; you can download them from the provider yourself (§ 8 (5)). The details are set out in Annex 1 § 8. After the 30 days, we delete the content of your website, unless we are required to keep it (§ 12 (1)).

  6. You can require us to support you in switching to another provider or to your own systems. This applies regardless of whether the Data Act (Regulation (EU) 2023/2854) applies to our service. Which data and formats are available, and which law our infrastructure is subject to, is set out at prontoweb.io/wechsel.

    1. You tell us via WhatsApp or email where you are switching to. The switch begins at the end of the current billing month.
    2. From then on, the contract continues for at most 30 days. Your website remains online. We send you the ZIP file under paragraph 5, at your request with the recordings of your voice messages and your videos in the original, as far as we still have them. We answer your questions about the switch, tell you about known risks and maintain security at a high level. During this time you pay the fee pro rata by the day.
    3. If we cannot technically manage the 30 days, we tell you so within 14 working days, giving reasons, and state a period of at most seven months. You may extend the transition period once. The fee then continues to run.
    4. The contract ends when the switch has been completed. We confirm this to you. If you do not want to switch but only want your data deleted, it ends on the day under no. 1.
    5. After that you can still request your data for 30 days. We then delete it completely, including the conversation, unless we are required to keep it.
    6. The switch itself costs nothing.

Without such a request, we do not continue to operate your website after the end of the contract.

§ 7 Your obligations

  1. Your information must be true and complete, above all for the legal notice. Without a complete legal notice, no website goes online.
  2. Please check your draft before the “yes” and your website after every change. Report errors to us in the conversation; we correct them free of charge. Your rights in the event of defects remain unaffected by this.
  3. You do not send us any content that violates laws or the rights of others. In addition, we do not design websites for the areas exhaustively listed in Annex 5 § 1 (2): erotica, gambling, weapons, drugs, extremism, promises of healing and the brokerage of investments, loans and crypto-assets.
  4. If we receive a substantiated notice of such content or detect it ourselves, we may block it until the matter has been resolved. Only if that is not sufficient do we take the entire website offline. We tell you what we have blocked and why, and how you can object (Annex 5 §§ 3, 4).

§ 8 Content and rights

  1. Texts, photos, logos and other content that you send us remain yours. You grant us the simple (non-exclusive) right to edit, publish and technically process them for your draft and your website, including with AI (§ 9), and to analyse them under paragraph 7. We may transfer this right only together with the contract (§ 15 (4)). The right applies until the end of the contract. After that we use the content only to send you the ZIP file (§ 6 (5)) and to delete it. What we have derived from it under paragraph 7 no. 2 we may use without time limit.
  2. You warrant that you hold the necessary rights to your content, including the right of the persons depicted to their own image. If a third party asserts claims against us for this reason, you indemnify us against them, including reasonable costs of legal defence. This does not apply if you are not responsible for the infringement. Paragraph 1 and this paragraph also apply to the content of a website that you name to us as your own.
  3. You may use the texts that we write for your website freely, also after the end of the contract. Design, templates, program code and framework of the website remain ours. You may use them with your website during the contract. You may not copy them or operate them elsewhere, and you do not receive them after the end of the contract.
  4. Businesses only: We may show your website with the name of your business as a reference, without photos in which persons can be seen. You can object informally at any time, for example via WhatsApp. We then remove the reference within seven days.
  5. You may use stock photos and AI images on your website during the contract. For stock photos, the licence terms of the provider also apply (Annex 1 § 3 (4)). After the end of the contract, you may continue to use AI images, including commercially. We cannot grant you an exclusive right to them. AI images are generally not protected by copyright, and similar images may also be created for others. After the end of the contract, you can download stock photos from the provider yourself, under its licence.
  6. The following applies to AI images, also after the end of the contract:

    1. You do not remove or alter the embedded provenance data.
    2. You do not pass off AI images as a photo or as the work of a human.
    3. You do not use AI images to train AI models.
  7. We improve our service with what we learn from all conversations and websites, for example which questions help and which texts and designs are well received. For this purpose we analyse conversations, drafts and your feedback and, once we collect them, also the figures under Annex 1 § 9. The following applies:

    1. Your content never appears on another customer’s website and never in our advertising, except as a reference under paragraph 4.
    2. What we derive from it are general rules, figures across many websites and examples from which we have removed names, addresses and everything else that could identify you or your business. These rules, figures and examples belong to us, also after the end of the contract. We may also use them to train our own AI models.
    3. We do not pass on your content or the figures of your business to third parties and do not sell them.
    4. We nevertheless delete the conversation under § 12 (1).

§ 9 Artificial intelligence

  1. In the conversation, an AI assistant of ProntoWeb replies to you. We point this out at the start of the conversation. If it cannot proceed, or if you ask for it, a human looks at the conversation. We do not promise a time frame for this.
  2. Texts, design and, where applicable, images are created with AI and may contain errors. Please therefore check every version (§ 7 (2)).
  3. Which AI providers we use and the principles by which we select them are set out in Annex 6. We require all our AI providers not to use your content to train their models. What we ourselves may learn from your content is governed by § 8 (7). What the providers may retain is set out in Annex 6 § 6 (4).

§ 10 Availability

  1. Your website is available around the clock. We remedy disruptions in our area as quickly as we can. The details are set out in Annex 1 § 5.
  2. Disruptions at our service providers (hosting, WhatsApp, payment) and force majeure may interrupt the website or the conversation. Your rights in the event of defects remain unaffected.

§ 11 Liability and defects

  1. We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and insofar as we have given a guarantee.
  2. In the case of slight negligence, we are liable only if we breach an essential contractual obligation. An obligation is essential if its fulfilment makes the proper performance of the contract possible in the first place and if you may normally rely on compliance with it, for example the obligation to provide your website and keep it available. In that case we are liable only for the damage that is typical of the contract and foreseeable at the time the contract was concluded. Businesses only: Our liability under this paragraph is also limited per case of damage to the fees that you paid in the twelve months before the case of damage, but to no less than €2,500.
  3. You yourself are responsible for the accuracy of the content and information that you give us, including the information for your legal notice. For images that we have selected or generated, we are liable under paragraphs 1 and 2. Our liability under paragraphs 1 and 2 remains unaffected.
  4. The limitations of liability also apply to our employees and service providers.
  5. Consumers only: In the event of defects, the statutory rights for digital products apply (§§ 327d et seq. BGB).
  6. Businesses only: In the event of defects, we remedy the defect, at our option, by correction or by creating it anew. If this does not succeed within a reasonable period, you may reduce the price or terminate without notice. Damages under paragraphs 1 and 2 remain available. Claims for defects become time-barred one year after they arise; claims under paragraph 1 become time-barred in accordance with the law.
  7. Our system generates the legal notice and privacy policy of your website from a fixed template and your information (Annex 1 § 4). This is not legal advice in an individual case. For errors in our template we are liable under paragraphs 1 to 6. If an error is also based on your information, this is taken into account under § 254 BGB.

§ 12 Data protection and data processing on behalf

  1. How we process your data from the conversation and from billing is set out in our privacy policy at prontoweb.io/datenschutz. We store the conversation together with your attachments, including the recordings of your voice messages and the version of your videos for the website, as long as the contract runs, and delete it 90 days after the end of the contract; without a contract, 90 days after your last message; in the case of a switch, § 6 (6) no. 5 applies. We also use the conversation to improve our service (§ 8 (7)). We keep invoices for eight years, as required by tax law (§ 147 AO, § 14b UStG).
  2. You are responsible for the data of the visitors to your website; we process it on your behalf. The Data Processing Agreement (Annex 4), which you conclude together with these terms, applies to this. Your website sets no cookies, has no form and builds no visitor profiles.

§ 13 Notices and points of contact

  1. Anyone can report to us content on a website operated by us that they consider illegal: via the link “Inhalt melden” (report content) at the bottom of each of these websites or by email to prontoweb@tiro-agent.com. How we review, decide and give reasons for every block is set out in Annex 5.
  2. The single point of contact for authorities, the EU Commission and users under Art. 11 and 12 DSA is prontoweb@tiro-agent.com. You can write to us in German and in English.

§ 14 Changes to these terms

  1. We change these terms only with your express consent.
  2. We send you the new version by email and via WhatsApp at least six weeks before it is intended to take effect. You consent with a click or with a “yes” in the conversation. If you do not consent, the previous version continues to apply to you. We may then terminate the contract under § 6 (2).

§ 15 Final provisions

  1. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Consumers only: This choice of law does not deprive you of the protection of the mandatory provisions of the country in which you have your habitual residence.
  2. Businesses only: If you are a merchant, a legal entity under public law or a special fund under public law, or if you have your registered office outside Germany, the place of jurisdiction is Berlin.
  3. We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
  4. We may transfer this contract with all rights and obligations to a company that takes over our ProntoWeb business. We tell you this in text form at least four weeks in advance and name the acquirer. You may then terminate the contract without notice, with effect from the day of the transfer.

§ 16 Domain (additional service)

  1. This section applies only if you have ordered a domain from us. Whether we offer this and at what price is set out in the price list (Annex 2) and on the payment page.
  2. We register the domain in your name and for your account. You are the holder of the domain. The registration is also subject to the terms of the responsible registry (for example DENIC for .de). We state these to you before you order.
  3. Whether a desired domain is still available is only certain upon registration. If it has been taken, we tell you, and you pay nothing for it.
  4. You warrant that the domain does not infringe any name, trademark or other rights of third parties. § 8 (2) applies accordingly.
  5. If the contract for the website ends, the domain remains yours. On request, we give you the code for transferring it to another provider (auth code). You may also have us continue to manage the domain for the price stated in the price list. The term and termination of the domain are set out in the price list.
