General Terms and Conditions

General Terms and Conditions of ProntoWeb for the subscription “Website subscription” („Website im Abo“). Annex 1 is the Data Processing Agreement, Annex 2 the Cancellation Policy.

§ 1 Provider and scope

  1. The provider is tiro UG (haftungsbeschränkt), Oranienburger Straße 45, 10117 Berlin, Germany, represented by its managing director Felix Kunhardt von Schmidt. It is registered with the Amtsgericht Berlin (Charlottenburg) under HRB 270107 B; its VAT ID is DE451517867. It can be reached at prontoweb@tiro-agent.com. It trades under the brand “ProntoWeb” (“we”).
  2. These terms apply to contracts with consumers (§ 13 BGB) and with businesses (§ 14 BGB). Where a rule applies to only one of the two groups, this is stated.
  3. We treat every customer as a consumer until they prove that they act as a business, for example with a valid VAT ID or an extract from a commercial register. Terms and conditions of businesses do not apply, even if we do not object to them.

§ 2 Conversation, draft and conclusion of contract

  1. The customer describes their business in a WhatsApp conversation. From this we create a draft of their website. The conversation and the draft are free of charge and non-binding.
  2. Until the contract is concluded, we create exactly one draft. We adjust content such as texts, images, opening hours and contact details on request. Changes to the design are only available in the subscription.
  3. The customer’s “yes” in the conversation is not yet an order. We then send them the link to the payment page. The contract is concluded when the customer accepts these terms there, submits the order with the order button and our payment service provider (Stripe) confirms the payment.
  4. On the payment page the customer can check and correct their entries before submitting. We store the text of the contract. After conclusion of the contract, the customer receives these terms in the accepted version and the cancellation policy by email.
  5. The language of the contract is German. The English translation is for information only; the German version is legally binding.

§ 3 Services in the “Website subscription”

  1. For the term of the contract, we provide the customer with a website based on their draft. It runs at an address of the form name.prontoweb.io. The address remains ours. After the end of the contract we keep it reserved for the customer for two months; after that we may assign it again. A domain of the customer’s own is not part of the service.
  2. The website includes hosting and technical maintenance. We also create a legal notice (Impressum) and a privacy policy from the customer’s information. The customer is responsible for the accuracy of this information (§ 7). The footer of every website contains a reference to ProntoWeb. It is part of the service and will not be removed.
  3. Changes to the website are included in the subscription. The customer tells us via WhatsApp what they would like changed: texts, images, videos, opening hours, contact details and list entries, but also the design, a new section or a new page. We do not count redesigns. We apply changes to the website immediately, without a separate preview.
  4. Changes are subject to fair use. In each calendar month we apply changes until they reach computing costs of 5 US dollars. These are the costs of the AI models that carry out the changes; the conversation does not count towards this. A change to the content usually costs a few cents, a change to the design usually around 15 cents. Once the limit is reached, we tell the customer in the conversation, and we apply further changes from the 1st of the following month; the customer then sends us their requests again. Whatever is not used in a month expires at the end of the month. We do not offer the purchase of additional changes. We correct errors on the website even when the limit has been reached (§ 7 (2)); this does not count towards the limit.
  5. We work with language models (artificial intelligence) and with subcontractors. We do not owe any particular design result. Nor do we owe a ranking in search engines or a particular number of visitors.
  6. We may change the service for a valid reason, for example because of new technology or a change in the law. This causes no additional costs for the customer. If a change affects the customer more than insignificantly, we inform them in advance, and they may terminate free of charge (§ 327r BGB).
  7. A video that the customer sends us appears on their website as a silent loop, at most the first 20 seconds. To do this, we convert it on our own server and remove sound, location data and other metadata. It has a still image and a button to pause it. Anyone who has set reduced motion on their device sees the still image. If a video is longer or cannot be converted, we tell the customer in the conversation.

§ 4 Prices and payment

  1. The price stated on the payment page at the time of the order applies (currently €19.00 per month). It is due monthly in advance, for the first time on conclusion of the contract.
  2. All prices include statutory VAT. Businesses in other EU countries with a valid VAT ID pay the net price (currently €15.97) and owe the tax themselves (reverse charge).
  3. We bill via Stripe. The customer receives invoices by email.
  4. The customer redeems a discount code on the payment page. Seven days before a discount ends, we remind them via WhatsApp of the price that will then apply and of how to cancel. After that the regular price applies.
  5. We change the price only with the customer’s express consent. We announce a new price six weeks in advance. If the customer does not agree, their contract continues at the previous price, and we may terminate it with ordinary notice (§ 6 (2)).
  6. If a payment is not made, we remind the customer. If it has not been received 14 days after it was due, we take the website offline until payment is received. After 30 days we may terminate for cause.

§ 5 Right of withdrawal for consumers

  1. Consumers may withdraw from the contract within 14 days. Details are set out in the cancellation policy (Annex 2).
  2. The website goes online immediately after payment if the customer expressly requests this on the payment page.
  3. If the customer nevertheless withdraws within the withdrawal period, we refund the full amount and take the website offline. We do not demand compensation for the time it was online.

§ 6 Term and termination

  1. The contract runs for an indefinite period. There is no minimum term.
  2. Either party may terminate at any time with effect from the end of the current billing month. We do not refund any part of a month already paid for.
  3. The customer can cancel in three ways: with the button “Cancel contract here” („Vertrag hier kündigen“) on prontoweb.io, in the customer portal, or in text form. Text form includes a WhatsApp message in the conversation. We confirm every cancellation in text form and carry it out ourselves.
  4. The right to terminate for good cause remains unaffected. For us, good cause includes in particular a breach of § 7 (3) or a payment delay of more than 30 days.
  5. When the contract ends, we take the website offline. Up to 30 days afterwards, we send the customer, on request, the texts and images they supplied, as well as their videos in the version that ran on the website and in the original, as far as we still have it. After that we delete the website’s data, unless we are required to keep it.

§ 7 Customer obligations

  1. The customer provides true and complete information, above all for the legal notice (Impressum). Without a complete legal notice, no website goes online.
  2. The customer checks their draft before the “yes” and their website after every change. They report errors to us in the conversation, and we correct them free of charge. With the “yes” and with every change request, they approve the content concerned.
  3. The customer does not supply content that violates laws or the rights of third parties. The following are also excluded:
    • erotica and sex work,
    • gambling and betting,
    • weapons and drugs,
    • extremist or discriminatory content,
    • promises of healing,
    • financial and investment brokerage and loans.
  4. If we receive a substantiated notice of such content, we may block it until the matter is resolved. We inform the customer of this.

§ 8 Content and rights

  1. Texts, photos, logos and other content the customer sends remain theirs. For the term of the contract, they grant us the simple (non-exclusive) right to edit, publish and technically process them for their website. This includes processing by language models.
  2. The customer warrants that they hold the necessary rights to their content. This includes the right of the persons depicted to their own image. If a third party asserts claims against us for this reason, the customer indemnifies us, including reasonable costs of legal defence. For consumers this applies only if they are responsible for the infringement.
  3. The customer may use texts that we write for them freely, also after the end of the contract. Design, templates, code and framework of the website remain ours. The customer may use them during the contract but may not copy them or operate them elsewhere, and they do not receive them after the end of the contract either.
  4. We may show the website with the name of the business as a reference until the customer objects informally.

§ 9 Artificial intelligence

  1. In the conversation, an AI assistant of ProntoWeb replies. If it cannot proceed, or if the customer asks for it, a human looks at the conversation. We do not promise a response time for this.
  2. Texts and design are created with AI and may contain errors. This is why the customer checks every version under § 7 (2).
  3. An AI describes the customer’s photos and videos so that they are placed in the right spot. Of a video, it only sees individual still images, never the sound.

§ 10 Availability

  1. We endeavour to keep the website available at all times. We do not promise any particular availability.
  2. Maintenance, disruptions at subcontractors (hosting, messaging, payment) and force majeure may temporarily interrupt the website or the conversation. We remedy such disruptions as quickly as can reasonably be expected of us.

§ 11 Liability and defects

  1. We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and insofar as we have given a guarantee.
  2. In the case of simple negligence, we are liable only if we breach an essential contractual obligation. An obligation is essential if the contract cannot be performed without it and the customer may rely on its fulfilment. Liability is then limited to the damage typical of the contract and foreseeable. Towards businesses it is also capped at the fees of the last twelve months.
  3. The customer is responsible for content they have supplied or approved. This also applies to their information in the legal notice. Our liability under paragraphs 1 and 2 remains unaffected.
  4. The limitations of liability also apply to our employees and subcontractors.
  5. Towards consumers, the statutory rights for defects of digital products apply (§§ 327d et seq. BGB).

§ 12 Data protection and data processing on behalf

  1. How we process the customer’s data in the conversation and for billing is described in our privacy policy at prontoweb.io/en/datenschutz. As long as the contract runs, the conversation remains stored together with the customer’s attachments, including the version of their videos for the website. We delete it 90 days after the end of the contract; without a contract, 90 days after the end of the conversation. We keep invoices for ten years, as required by the German Fiscal Code (Abgabenordnung).
  2. The customer is responsible for the data of the visitors to their website, and we process it on their behalf. The Data Processing Agreement (Annex 1), which the customer accepts together with these terms, applies to this. A live website sets no cookies, has no form and builds no visitor profiles. Fonts, images and videos come from our own server. Only our host Vercel sees visitor data, in server logs.

§ 13 Reporting illegal content

Anyone can report content on a website operated by us that they consider illegal to prontoweb@tiro-agent.com. We review every report and communicate the result (Art. 16 DSA). The same address is the point of contact for authorities and users under Art. 11 and 12 DSA.

§ 14 Changes to these terms

  1. We may change these terms if laws, case law or the service change. A change takes effect only with the customer’s express consent.
  2. We send the new version at least six weeks before it is to take effect, by email and WhatsApp. The customer consents with a click or a “yes” in the conversation. If they do not consent, the previous version continues to apply to them, and we may terminate with ordinary notice (§ 6 (2)).

§ 15 Final provisions

  1. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Consumers retain the protection granted to them by the mandatory law of the country in which they habitually reside.
  2. The place of jurisdiction is Berlin if the customer is a merchant, a legal entity under public law or a special fund under public law.
  3. We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
  4. If any provision is invalid, the remaining provisions remain valid.
